AMTINDIVIDUAL END USER LICENSE AGREEMENT

This agreement explains the terms and conditions governing your access and use of the AMTINDIVIDUAL web site (the “Site”). This agreement is between you, the end user, and AMTIndividual, LLC, owner of the Site (“AMTIndividual”). Your use of this Site, including access to content and services at the Site, is subject to the terms and conditions in this agreement. By accessing or browsing this Site, or by registering with the Site, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.

REGISTERED USERS

If you register with this Site to receive services, you will be required to enter a username and password each time you want to access and use the Site. You agree to access this Site using only your own username and password and will not attempt to gain access to services by any other means. By registering with the Site and entering or uploading your personal information and tax data, you authorize AMTIndividual to use to your information to provide requested services. By registering with the Site, you agree to all of the terms and conditions contained in this agreement to access and use this Site. If you do not agree to the terms and conditions of this agreement, you will not be permitted to access and use this Site and/or the related services.

If you are a registered user, you are responsible for maintaining the confidentiality of your username and password and content appearing at or derived from this Site. You are responsible for any and all activities that occur under your username account. You agree to notify AMTIndividual immediately of any unauthorized use of your username and password or any other breach of security. Sharing your username or password with others is a violation of this license agreement and may result in termination of your license.

LIMITED LICENSE

AMTIndividual grants to you a non-exclusive, non-transferable, revocable right to access and use this Site, and for registered users, to receive services, to upload your personal information and tax data to this Site, and to review the information available or provided to you from this Site for the purpose of understanding your personal AMT liability. Any unauthorized use of the Site terminates this license.

PROPRIETARY RIGHTS AND SECURITY

The Site content is protected by U.S. copyright law and portions of the Site content may be subject to other proprietary rights and laws. In addition to the Site content, the Site software and documentation are proprietary information of AMTIndividual or third-parties from which AMTIndividual has licensed rights (the “Proprietary Information.”) You agree not to publicly display, publish, transmit, modify, distribute, reproduce, adapt, edit, translate, reverse engineer, decompile, disassemble, or create derivative works from the Proprietary Information.

You agree not to use any network monitoring or discovery software or device to determine the Site architecture, or to extract information about usage or user identities. You agree not to use, intentionally or unintentionally, any content or services at this Site in a manner contrary to or in violation of any international, federal, state, or local law, rule, or regulation. You agree not to upload data or information to harm, disable, overburden, or otherwise interrupt, impair, or interfere with operation of this Site or the computers hosting this Site. If you upload damaging data or information, you may be subject to civil and criminal liability and penalties.

Use of the Site or Proprietary Information for any purpose not expressly permitted in this agreement is prohibited. The granting of a limited license to access and use the Site and its content does not transfer any right or interest in the Proprietary Information to you. You agree to notify AMTIndividual if you become aware of any violation of the terms and conditions of this agreement.

TRADEMARKS

AMTINDIVIDUAL is a trademark of AMT Individual, LLC. You agree not to make use of any trademarks, service marks, trade names, or logos without prior written consent from AMTIndividual.

WARRANTY

AMTIndividual warrants that the Site will operate substantially in conformance with the description of the program and services provided at this Site. You may report errors related to the Site by contacting us using any of the methods described on the contact us page. AMTIndividual shall undertake reasonable efforts to correct any errors reported by you.

DISCLAIMER OF WARRANTIES

THE WARRANTIES SPECIFIED IN THE WARRANTY SECTION ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES. THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” AS A CONVENIENCE TO YOU WITHOUT ANY OTHER WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AMTINDIVIDUAL DOES NOT WARRANT THAT THE SITE WILL OPERATE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT IT WILL OPERATE PROPERLY WITH ALL HARDWARE AND SOFTWARE CONFIGURATIONS. AMTINDIVIDUAL SHALL NOT BE RESPONSIBLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF DATA TRANSMISSIONS.

LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL AMTINDIVIDUAL BE LIABLE FOR ANY DAMAGES INCLUDING INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COMMERCIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF GOODWILL, BUSINESS PROFITS, OR COMPUTER DATA, WORK STOPPAGE, AND COMPUTER FAILURE OR MALFUNCTION. THIS LIMITATION APPLIES TO ALL ACTIONS WHETHER BASED ON ACTIONS IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MONEY-BACK GUARANTEE

AMTIndividual may, at its discretion, offer a money-back guarantee as an inducement to its customers to purchase its products. Such money-back guarantee, if offered, shall be separate and distinct from, and shall have no effect on, the above WARRANTY, DISCLAIMER OF WARRANTIES or LIMITATION OF LIABILITY.

If you were offered a money-back guarantee and you request a refund under the money-back guarantee, you will receive a full refund of the amount you actually paid to AMTIndividual within 30 days of receipt of your request. Your acceptance of the refund shall immediately terminate your access to and use of the AMTIndividual web site, and it also shall constitute your sole and exclusive remedy with respect to your access to and use of the site.

TERM AND TERMINATION

You may access and use this Site as long as you comply with the terms and conditions of this agreement. If you violate any of the terms or conditions of this agreement, AMTIndividual, without notice or consent, may terminate this license agreement, and if you are a registered user, revoke your username and password and deny you access to this Site. Upon termination of this agreement, you shall immediately cease use of the Site.

ENTIRE AGREEMENT

These terms and conditions constitute the entire agreement between you and AMTIndividual with respect to your access and use of this Site. This agreement supercedes all prior or contemporaneous communications and proposals.

GOVERNING LAW

This Agreement shall be governed and construed in accordance with the laws of the State of Florida and any action arising out of or relating to these terms and conditions shall be filed only in state or federal courts locating in Tampa or Fort Myers, Florida. By using this Site for any reason, you hereby consent to the personal jurisdiction of such courts for the purpose of litigating such action.

MODIFICATIONS TO AGREEMENT

AMTIndividual reserves the right to update or revise the terms and conditions of this agreement at any time. You are responsible for regularly reviewing these terms and conditions. Your continued use of the Site constitutes your agreement to all such terms, conditions, and notices.
